Establish the corporate chain of authority
A company’s contact person is not necessarily the person entitled to sign its Turkish power of attorney. Identify the legal entity, registration country, current officers and signing rules. A subsidiary, branch and parent company have different identities. The registry extract, constitutional documents or a corporate decision may be needed to show how the instruction binds the entity.
Match the decision to the intended legal work
Company formation, litigation, debt recovery, settlement and disposal of assets can require different authorizations. A board resolution should describe the approved act and the signatory rather than refer loosely to all Turkish matters. Joint-signature requirements and later changes must be considered. The foreign company’s capacity and the receiving Turkish authority’s document requirements require separate assessment.
Check the document chain before certification
Have the wording and evidence reviewed before spending on notarization, apostille and translation. Authentication confirms an official signature or seal within its scope; it does not establish that the signatory had every required substantive power. Keep the extract, resolution and signed authority together. Agree who may approve a settlement and who receives reporting so that operational contacts and formal legal authority are clear.
Questions about this procedure
Can the sales manager sign a litigation power of attorney?
Only if the relevant corporate authority and applicable requirements support that power. Job title alone is insufficient.
