THE SHORT ANSWER

An overseas creditor should establish the debtor, maturity, documentary basis and likely enforcement route before spending on collection.

01

Check the evidence and authority

A contract, invoice, delivery record and written acknowledgment may support different parts of the claim. Corporate creditors need an authority chain for instructions and representation. Identify guarantees and lawful asset information without assuming that a trading address proves ownership.

02

Assess recovery as well as legal entitlement

A demand, negotiation, payment procedure and lawsuit have different costs and effects. A foreign judgment may need enforcement in Turkey first. An objection can change the route, and actual recovery depends on available assets. Agree reporting and settlement authority and distinguish collection from a guarantee of payment.

A transaction file for an overseas creditor

Connect the contract, order, performance, invoice, due date and remaining balance. Identify the registered debtor rather than only a trading name. Show partial payments, disputed items and relevant correspondence separately. Currency, interest and the contractual forum can affect the claim and should be documented.

A collection instruction after the evidence review

Agree whether the next work is debtor identification, a demand, an enforcement application, proceedings following an objection or use of an existing judgment. An adjudicated claim and an ordinary invoice do not start from the same procedural position. The likely cost of pursuing a claim should be considered alongside information about recoverable assets.

Enforcement without a judgment and payment-order objections

For an ordinary due money claim, general enforcement without a prior judgment may be available. Jurisdiction, the contractual forum, currency and the basis of the claim must first be checked. Under Enforcement and Bankruptcy Law Articles 62 and 66, a timely objection within seven days of service stops ordinary enforcement. Other instruments and procedures have different rules. An action to annul the objection or an application to lift it depends on the evidence and applicable time limits; neither should be confused with the underlying claim’s limitation period.

Foreign judgments: recognition is different from enforcement

A foreign civil judgment does not automatically authorise a Turkish bailiff to seize assets. Under MÖHUK Articles 50–57, enforcement requires a Turkish court decision and assessment of finality, reciprocity, jurisdiction, public policy and defence rights. Provide the authenticated judgment, proof of finality and certified translations under Article 53. Recognition under Article 58 concerns evidential or res judicata effect and does not itself collect the award; reciprocity is not a condition for recognition. EU enforcement mechanisms do not automatically extend to Turkey.

Commercial litigation, mandatory mediation and evidence

A disputed invoice may lead to commercial litigation. Article 5/A of the Turkish Commercial Code requires pre-action mediation for the covered commercial monetary claims, including relevant objection-annulment, negative-declaration and restitution actions. It is not a blanket requirement before every ordinary enforcement filing. Keep contracts, orders, delivery and acceptance records, invoices, correspondence, acknowledgments and payment records together. Consider arbitration or jurisdiction clauses before choosing a court.

Debtor asset investigation, attachment and insolvency

Identify the registered company and liable guarantors before lawful asset enquiries. An attachment before judgment requires its own statutory conditions and may require security; filing a claim does not itself freeze all assets. Ordinary attachment and sale follow the applicable enforcement stage and exemptions. Bankruptcy or concordat can alter individual enforcement, claim registration, priority and realistic recovery. Directors and shareholders do not automatically become personally liable for a company’s invoice.

Limitation, interest and collection costs

Where Turkish substantive law governs, Code of Obligations Article 146 supplies a ten-year default period unless a special rule applies; Article 147 and other legislation contain shorter periods. Maturity, acknowledgment, proceedings and applicable cross-border law can affect the calculation. Review contractual and statutory interest, default date, currency and any special commercial rules. Separate lawyer fees, court or enforcement charges, translation, service, experts and any foreign-creditor security. Reimbursement and actual recovery cannot be guaranteed.
